Mayor Richard A. Moccia forms the Waypointe Master Development Agreement Special Advisory Committee

Last year the City approved a Redevelopment Plan for the portion of West Avenue north of 195. The City also approved the Preliminary Development Plan for Parcel B in that Redevelopment Plan as presented by Seligson Properties. The City is currently negotiating a Master Development Agreement (MDA) with Seligson Properties that outlines both developer and city responsibilities regarding the proposed mixed use development project which consists of over a million square feet of build out. The MDA is the formal contract between the City, Redevelopment Agency and the Developer. As such it is a legal document which captures the various rights and obligations of each party. It is anticipated that negotiations on the MDA will be concluded before the end of May and at that time the final document will be released for review by the City Council and the general public.

An Executive Summary detailing the key business terms of the Agreement was made available May 19, 2008 and has been posted on the City website.

Mayor Moccia has selected four independent professionals with experience in real estate, finance and contractual law to fully review and consider the agreement; provide their appraisal and recommendations. The Appointees include:

Susanne S. Dengenis. Ms. Dengenis is Vice President of Brokerage Services with CB Richard Ellis. Specializing in account and transaction management for office and industrial companies, Ms. Dengenis works with multi-market portfolios nationally and internationally. She brings over 15 years of wide ranging experiences in the commercial real estate industry including commercial real estate leasing, portfolio strategies and project management. Ms. Dengenis is a licensed real estate broker in Connecticut and Massachusetts.

Donald R. Gustafson. Mr. Gustafson is Partner in the Shipman & Goodwin Law firm. He has counseled local, regional and national financial institutions with regard to commercial real estate financing, construction projects, loan restructuring and workouts. He is experienced in representing developers, municipalities, corporations and real estate investment trusts

in connection with the financing, acquisition, development and sale of properties. Mr. Gustafson is admitted to the Connecticut Bar and is also a licensed title insurance agent with various national title insurance companies.

Teresa S. Polley. Ms. Polley serves as Chief Operating Officer of the Financial Accounting Foundation. In this role she directs the private nonprofit organization responsible for administration and oversight of the Financial Accounting Standards Board (FASB), the governmental Accounting Standards Board (GASS), and their advisory councils. The FASB establishes United States standards of financial accounting and reporting for private sector entities including businesses and not-forprofit organizations. The GASS establishes standards of financial accounting and reporting for state and local government entities in the United States.

Randy Napoletano. Mr. Napoletano serves as Vice President of

Commercial Lending at Norwalk Bank & Trust, a division of Connecticut Community Bank. A banking and finance professional for 28 years, Randy was previously vice president and the senior commercial lender at Fairfield County Bank's Norwalk office. A Norwalk native, Randy has a long history of community involvement including campaign chairman of the Norwalk Wilton United Way drive in 2001-2002. Randy is a member of the Greater

Norwalk Chamber of Commerce Board of Directors and chairs the Chamber Small Business Council.

The establishment of this Committee is intended to assist Mayor Moccia to more fully understanding the provisions of the draft MDA and the intended obligations of the City. Additionally through the Committee the Mayor seeks to raise the level of dialogue regarding the MDA. By involving professionals familiar with such documents and large scale real estate development projects the questions raised will be informed and based on experience.

Plans call for the Committee members to review and discuss the document content over the course of the coming weeks and present a final report and recommendations to Mayor Moccia before June 30.
